1. Agreement to Terms

By accessing or using Instica ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Instica is operated by Pinestraw Enterprises LLC ("we," "us," or "our").

2. Description of Service

Instica is a subscription-based inventory management application designed for sellers and collectors. The App allows users to:

  • Search and organize inventory catalogs
  • Track quantities, locations, costs, and notes
  • Manage inventory across multiple devices via cloud sync
  • Connect to marketplace integrations (eBay, Discogs, Reverb, Shopify, and others)
  • Receive low-quantity alerts
  • Access inventory analytics and tools

3. Subscription and Payment Terms

3.1 Subscription Plans

Instica offers the following auto-renewing subscription plans:

  • Starter Plan: $7.99/month (or as displayed in the App)
  • Pro Plan: $19.99/month (or as displayed in the App)

Pricing may vary by region and is subject to change with notice.

3.2 Free Trial

New subscribers may be eligible for a free trial period (typically 7 days). You will not be charged until the trial period ends. If you cancel before the trial ends, you will not be charged.

3.3 Payment and Renewal

  • Payment will be charged to your Apple ID account at confirmation of purchase
  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • You can manage or cancel your subscription in your Apple ID Account Settings after purchase

3.4 Cancellation and Refunds

  • You may cancel your subscription at any time through your Apple ID Account Settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds will be provided for partial subscription periods
  • All refund requests are subject to Apple's refund policies

4. Account and Data

4.1 Account Registration

You must create an account to use Instica. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activity under your account

4.2 Organization and Team Access

  • Certain subscription plans allow multiple users within an organization
  • The organization owner is responsible for managing team member access
  • Each user must have their own account
  • Organization owners are responsible for their team members' use of the App

4.3 Data Storage and Sync

  • Your inventory data is stored securely in the cloud and synced across your devices
  • We implement industry-standard security measures to protect your data
  • You are responsible for maintaining backups of critical business data
  • We are not liable for data loss due to your actions or third-party service failures

5. Acceptable Use

You agree NOT to:

  • Use the App for any illegal purpose
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble the App
  • Remove or modify any proprietary notices
  • Use the App to transmit malware or harmful code
  • Violate any applicable laws or regulations
  • Resell or redistribute access to the App
  • Use automated systems (bots, scrapers) without permission
  • Interfere with other users' access to the App

6. Third-Party Services and Integrations

6.1 External Integrations

Instica may integrate with third-party services (such as eBay, Discogs, Shopify, Reverb). Your use of these integrations is subject to:

  • The third party's own terms of service and privacy policies
  • Any API usage limits or restrictions imposed by the third party
  • Your own valid accounts and authorizations with those services

6.2 No Endorsement

We do not endorse, warrant, or guarantee any third-party services. We are not responsible for:

  • The availability or reliability of third-party services
  • Changes to third-party APIs or terms
  • Data accuracy from third-party sources
  • Any losses resulting from third-party service failures

7. Intellectual Property

7.1 Our Rights

The App, including its design, code, features, trademarks, and content, is owned by Pinestraw Enterprises LLC and protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of the inventory data and content you input into the App. By using the App, you grant us a limited license to:

  • Store, process, and display your content to provide the service
  • Use aggregated, anonymized data for analytics and service improvement
  • Backup and restore your content for service continuity

7.3 Barcode and Product Data

  • Generated barcodes from the App are for your internal use
  • Product information obtained through third-party APIs remains subject to those providers' terms
  • You are responsible for ensuring your use of product data complies with applicable laws

8. Privacy

Your privacy is important to us. Our Privacy Policy (available in the App and at our website) explains how we collect, use, and protect your personal information. By using the App, you agree to our Privacy Policy.

9. Disclaimers and Limitations of Liability

9.1 "AS IS" Service

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Service Availability

We do not guarantee that:

  • The App will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The App is free of viruses or harmful components
  • Results from using the App will be accurate or reliable

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINESTRAW ENTERPRISES LLC SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages exceeding the amount you paid us in the 12 months preceding the claim
  • Issues arising from third-party services, integrations, or API failures

9.4 Inventory and Business Decisions

The App is a tool to assist with inventory management. You are solely responsible for:

  • Business decisions based on App data
  • Verifying the accuracy of inventory information
  • Compliance with laws governing your business operations
  • Any financial or business losses

10. Indemnification

You agree to indemnify, defend, and hold harmless Pinestraw Enterprises LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your business operations or inventory management practices

11. Termination

11.1 By You

You may terminate your account at any time by:

  • Canceling your subscription through Apple ID Account Settings
  • Contacting us to request account deletion

11.2 By Us

We may suspend or terminate your access immediately if:

  • You violate these Terms
  • Your account is inactive for an extended period
  • We discontinue the App or service
  • Required by law or legal process

11.3 Effect of Termination

Upon termination:

  • Your access to the App will cease
  • Your subscription will not be refunded (except as required by law)
  • We may delete your data after a reasonable retention period
  • Sections of these Terms that should survive (indemnification, limitations, etc.) will remain in effect

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms in the App
  • Sending an email to your registered address
  • Displaying a notice in the App

Your continued use of the App after changes constitutes acceptance of the new Terms.

13. Changes to Service or Pricing

We reserve the right to:

  • Modify, suspend, or discontinue any feature or the entire App
  • Change subscription pricing with 30 days' notice
  • Add or remove integrations or third-party services

Active subscribers will be notified of pricing changes before renewal.

14. Geographic Restrictions

The App is intended for use in jurisdictions where such use is lawful. If you access the App from outside the United States, you are responsible for compliance with local laws.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

15.2 Arbitration

Any disputes arising from these Terms or your use of the App will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

15.3 Class Action Waiver

You agree to resolve disputes on an individual basis only, and waive any right to participate in class actions or class arbitrations.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pinestraw Enterprises LLC regarding the App.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

16.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

16.4 Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control (natural disasters, war, pandemics, third-party service outages, etc.).

18. Apple-Specific Terms

Because Instica is distributed through the Apple App Store:

  • These Terms are between you and Pinestraw Enterprises LLC, not Apple
  • Apple has no obligation to provide support or maintenance
  • Apple is not responsible for the App or its content
  • Apple is a third-party beneficiary of these Terms and may enforce them
  • You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country
  • You comply with all applicable third-party terms when using the App

By using Instica, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
